LMS CAPITAL PLC - Reduction of capital

Modified on Mon, 28 Apr at 2:58 PM

Dear client

LMS Capital plc, announces it had concluded that the best way to deliver value for Shareholders was to carry out a managed realization of the Company’s assets and return of capital to Shareholders over time. The Board is proposing to realize investments in an orderly manner. It is expected that the investments will be realized over time, with certain investments requiring longer realization periods than others (the “Managed Realization”). It is anticipated that the Managed Realization will take approximately two years but may take longer. The Board will, however, seek to return capital to Shareholders at intervals as and when appropriate, with an initial return of capital expected in July 2025.

The Board’s aim in connection with the proposed New Investment Policy is to realize the Company’s investments in a manner which maximizes returns.

It is expected that redemption will occur immediately after each allotment and issue of B Shares, when all of the B Shares then in issue will be compulsorily redeemed and cancelled in accordance with their terms for an amount not exceeding the amount treated as paid up on the B Shares. Following the redemption and cancellation of any B Share issue, the redemption proceeds will be sent to Shareholders, either through CREST or via cheque.

If any B Share Dividend is paid the payment will be an income payment, and so it will be paid separately.
